When you purchase a franchise or sign on to a dealer agreement, these intangibles are not owned by you. They cannot be put on a balance sheet and amortized over time for tax savings like the intangibles in an asset sale. But in the worst case, your team can learn from those systems and processes and hold them if one opportunity fades and transferred to a new one.

Branding is an increasingly important factor in home improvement. In addition to systems and processes, brand and perhaps product are the next most important considerations. Much of the industry today goes to market with zero branding. Each year, thousands of hard working, dependable contractors open-up shop with a new name they must build from scratch. As they build their businesses, they begin to generate repeat and referral business to augment their platform of lead-generation techniques. Product is acquired through distribution.
Good brands are attractive and have resonance with homeowners. Better brands have actual name recognition. They come with professional logos and other assets. These are the intangibles built up by other entrepreneurs who are seeking to monetize or unlock their value by offering franchise and dealer opportunities.

In a franchise or dealer opportunity, you likely will not retain any ownership of the brand. It will not go on your balance sheet as an intangible asset when you begin operations. Here are some questions you might ask yourself about any opportunity you are weighing.
- To what extent will the strength of the brand I am renting reduce the cost of acquiring leads or improve the quality and quantity of leads?
This is separate from any leads that might be generated from the parent organization and distributed to local dealers and franchisees.
- What research can the parent organization show you that their brand resonates with homeowners? Many will have this information and will want to share it with you.
- If you like the brand, what is the array of branded assets that become available when you sign on?
In effect, how much investment in graphic design has resulted in a big library of finished graphics for use in all types of applications from billboards to Facebook ads are at your disposal. Or will it be up to you to pay for most of those adaptations.
- To what extent will the strength of the brand enhance pricing power with customers?
A good brand will help your sales team in the field. It will bolster their conviction on pricing. And it may enable you, as owner, to charge a premium for the products you sell and install. What is that premium and how does it play out as profit over the life of your agreement.
Many franchisors or master dealers will be prepared to answer these questions and many more about the value of their brands. They will also be prepared to answer questions about systems, processes and training that accompany their opportunities. These intangibles make many deals very worthwhile regardless of the results of your brand assessment.
You do not need a degree from a business school to understand how much of an organization’s potential profitability relates to its ability to operate efficiently from start to finish—from lead generation to appointment setting, to selling, and then to scheduling, production, completion and ultimately repeat and referral business.
No matter whether you are evaluating an opportunity that centers on a single product like windows or concrete coatings or if you are embarking on a full-service remodeling or insurance restoration opportunity, it is critically important to make a study of the systems and processes and training that undergird the operation. After all, much of the past success of the franchisor or master dealer is rightly assigned to solid systems and processes. Often, they are the product of time-consuming lessons learned or insights passed through generations. Good entrepreneurs know the value of not having to reinvent the wheel.
Here are some questions you might ask after you’ve had a chance to review the systems and processes offered as part of any deal.
- How holistic is the onboarding and training?
Does it involve just installation or does it go well beyond and involve all aspects of the business.
- Is the training in person or by video?
How much of their time will be invested in getting you and your team up to speed?
- Is there a proprietary software involved in keeping you and your team on track during training and afterward?
This borders on a tangible benefit, but a proprietary software can be a critical benefit.
- Do they have a special process?
Some products and services revolve around a special way of doing things. Some processes offer much improved experiences for customers that have lead-generation and pricing value.
